MONCWARE DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM ERRORS, VIRUSES, OR MALWARE.

10. Limitation of Liability

MONCWARE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

11. Term and Termination

These Terms will remain in effect until terminated by you or MoncWare. We may suspend or terminate your access to the Services at any time, for any reason, including, but not limited to, your violation of these Terms. Upon termination, you must cease all use of the Services, and we may delete or disable your account.

12. Indemnification

You agree to indemnify, defend, and hold harmless MoncWare and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or related to your use of the Services or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

• Jurisdiction: All claims arising out of or relating to these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

14. Dispute Resolution

•• Negotiation: In the event of any dispute arising out of or relating to these Terms or the use of the Services, the parties shall first attempt to resolve such dispute through good faith negotiations.

• Mediation: If the parties are unable to resolve the dispute through negotiation, they shall then attempt to resolve the dispute through mediation conducted by a mutually agreed-upon independent mediator.

• Litigation: If the dispute remains unresolved after mediation, either party may initiate legal proceedings in the courts of competent jurisdiction in Ahmedabad, Gujarat, India.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

16. Entire Agreement

These Terms constitute the entire agreement between you and MoncWare with respect to the Services and supersede all prior or contemporaneous communications, representations, and understandings, whether oral or written.

MoncWare may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of the Services after the effective date of any such changes constitutes your acceptance of the revised Terms.
